The working terms for Afterstage projects and partnerships.

1. Agreement to these terms

Afterstage is operated by Neon Fox Inc., 145 1/2 Church Street, Unit 5, Toronto, Ontario, M5B 1Y4, Canada. These Terms of Service govern access to and use of Afterstage's website, production services, review portal, upload links, client communications, proofs, final deliverables, and related workflows. By using Afterstage, submitting an inquiry, sharing materials, approving a quote, accessing a project workspace, or receiving services, you agree to these terms on behalf of yourself and, if applicable, the organization you represent.

If a signed agreement, statement of work, quote, order form, data processing agreement, or other written project document conflicts with these terms, that project document controls for the conflicting subject matter. These terms apply to the remainder of the relationship unless the written document says otherwise.

2. Our services

Afterstage provides people-led post-event content production for business, association, internal, sponsor, recognition, webinar, and conference projects. Services may include intake, file organization, transcript and footage review, editorial selection, editing, audio or visual finishing, proofs, revisions, review workflows, final downloads, and related project support.

The exact scope, timeline, number of deliverables, revision rounds, fees, expenses, and delivery format are set out in the applicable quote, statement of work, email approval, or other written project record. We may decline, pause, or rescope work if source materials, approvals, access, instructions, or third-party constraints prevent us from producing the project as planned.

3. Authority and client responsibilities

You represent that you have authority to engage Afterstage, approve project documents, submit materials, grant the rights described in these terms, and bind the organization you identify to us. You are responsible for giving us accurate project information, timely feedback, usable source files, brand requirements, legal or compliance instructions, and publication constraints that are relevant to the work.

You are responsible for obtaining and maintaining all rights, releases, consents, permissions, notices, and approvals needed for Afterstage to receive, process, edit, store, display, and deliver materials you provide. This includes rights related to speakers, attendees, performers, employees, contractors, sponsors, customer stories, brand assets, slides, music, stock assets, venue materials, trademarks, copyrighted works, confidential information, and personal information.

4. Client materials and license to Afterstage

You keep ownership of the footage, recordings, audio, slides, brand assets, source files, comments, instructions, and other materials you provide to Afterstage. You grant Afterstage and its personnel, contractors, vendors, and subprocessors a limited, worldwide license to host, copy, store, transcode, analyze, edit, adapt, display, transmit, and otherwise use those materials as needed to provide the services, operate the review and delivery workflow, communicate with you, maintain records, and comply with law.

Unless you give us written permission, we will not use unpublished client materials or non-public project details in public marketing. If you approve a case study, testimonial, portfolio use, logo use, or public example, the approved use may continue unless the written approval or applicable agreement says otherwise.

5. Production workflow, AI assistance, and service providers

Afterstage may use internal tools, third-party production systems, cloud storage, transcription services, review tools, communication tools, analytics, AI-assisted workflows, and specialist service providers to organize, search, edit, review, revise, and deliver work. People remain responsible for editorial judgment and final production review unless a project document expressly says otherwise.

AI-assisted or automated outputs may be used to support search, transcription, organization, rough cuts, summaries, drafts, quality control, or workflow operations. You should not treat any transcript, caption, summary, clip selection, or draft as final until it has gone through the agreed review and approval process.

6. Review, approvals, and final delivery

When a project includes proofs or a review loop, we will provide a reasonable method for your team to review, comment, request changes, and approve work. You are responsible for checking names, titles, sponsor references, claims, brand requirements, legal or regulatory language, music rights, captions, sensitive content, and any publication-specific requirements before approving or publishing assets.

Final assets are considered accepted when you approve them, publish them, download them for use after final delivery, or do not report a material production issue within the review or acceptance period stated in the project document. Changes requested after acceptance may require a new quote, additional fee, or revised timeline.

7. Fees, payment, and taxes

Fees, deposits, milestones, payment timing, included revision rounds, rush fees, pass-through expenses, cancellation terms, and late-payment terms are set out in the applicable quote, invoice, statement of work, or written project record. Unless a project document says otherwise, amounts are due in the currency stated on the invoice and are exclusive of applicable taxes, duties, bank fees, and payment processing charges.

If payment is overdue, we may pause production, withhold final delivery, suspend access, charge reasonable late fees where allowed by law, recover collection costs, or require payment before starting additional work. You are responsible for taxes associated with your purchase other than taxes based on Afterstage's income.

8. Ownership of deliverables and Afterstage materials

Unless a written project document says otherwise, once you have paid all amounts due for the applicable project, you receive the rights needed to use the finished client-facing deliverables for your organization's business, marketing, internal communications, sponsor, presenter, archival, and event-related purposes.

Afterstage retains ownership of its pre-existing materials, production methods, software, code, review portal, workflows, templates, know-how, project management systems, internal notes, rough cuts, unused concepts, source project files, automation, AI workflows, and other tools or materials that are not expressly identified as final client deliverables. We are not required to provide editable project files, raw working files, source code, models, prompts, internal notes, or system materials unless a written project document expressly includes them.

9. Confidentiality

Each party may receive non-public business, technical, financial, operational, event, employee, sponsor, attendee, customer, or project information from the other party. The receiving party will use reasonable care to protect confidential information and will use it only for the relationship, the services, legal compliance, or as otherwise permitted in writing.

Confidentiality obligations do not apply to information that is already public through no fault of the receiving party, independently developed without use of confidential information, lawfully received from another source, or required to be disclosed by law or legal process. If legally permitted, the receiving party will give reasonable notice before compelled disclosure.

10. Review portal, accounts, and acceptable use

If we provide portal access, upload links, download links, preview links, or other account-based services, you are responsible for keeping credentials and links secure and for all activity under your invited users, domains, or access links. Tell us promptly if you believe access has been compromised.

You may not use Afterstage to submit unlawful, infringing, harmful, deceptive, abusive, exploitative, malware-bearing, or unauthorized materials, or to violate privacy, publicity, intellectual property, export, employment, or communications laws. You may not interfere with the service, test or bypass security controls, scrape or reverse engineer the platform, or use the service to develop a competing production platform except where law gives you a non-waivable right.

11. Third-party services and platforms

Projects may depend on third-party platforms such as cloud hosting, storage, transcription, payment, email, analytics, delivery, event, webinar, file-transfer, or collaboration services. Third-party services may have their own terms, privacy practices, limits, outages, file-size restrictions, availability constraints, or content rules.

We are not responsible for third-party platforms you choose, links you provide, permissions you fail to configure, materials removed by a third party, or delays caused by third-party outages or restrictions. We may change service providers when reasonably needed to operate, secure, or improve Afterstage.

12. No professional advice

Afterstage provides production and content services, not legal, accounting, tax, employment, securities, compliance, medical, or other professional advice. You are responsible for any required legal, regulatory, brand, sponsor, HR, investor, or executive review before using, publishing, distributing, or relying on deliverables.

13. Disclaimers

Afterstage will provide services using reasonable skill and care. Except as expressly stated in a written project document, the website, review portal, production workflows, proofs, drafts, transcripts, AI-assisted outputs, and services are provided on an "as is" and "as available" basis.

To the fullest extent allowed by law, Afterstage disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, error-free operation, and any warranty arising from course of dealing or usage of trade. We do not guarantee specific marketing results, engagement, revenue, sponsor outcomes, rankings, publication acceptance, or audience response.

14. Limitation of liability

To the fullest extent allowed by law, Afterstage and its owners, employees, contractors, suppliers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-revenue, lost-data, business-interruption, reputational, or cover damages, even if advised of the possibility of those damages.

To the fullest extent allowed by law, Afterstage's total liability for claims related to a project or the services is limited to the amounts paid to Afterstage for the specific project giving rise to the claim during the three months before the event giving rise to liability. Some jurisdictions do not allow certain limitations, so some limits may not apply where prohibited.

15. Indemnity

You will defend, indemnify, and hold harmless Afterstage and its owners, employees, contractors, suppliers, and affiliates from claims, losses, damages, liabilities, costs, and expenses, including reasonable legal fees, arising from your materials, your instructions, your publication or use of deliverables, your breach of these terms, your violation of law, or a claim that Afterstage's permitted use of materials you provided infringes or violates another person's rights.

16. Suspension and termination

We may suspend or terminate access to services, links, portals, or projects if you breach these terms, fail to pay amounts due, create security or legal risk, misuse the service, or if continuing the work would be impractical, unsafe, unlawful, or commercially unreasonable. Termination does not affect amounts already due, confidentiality, ownership, payment, indemnity, limitation of liability, dispute, or other provisions that should reasonably survive.

17. Events outside our control

Afterstage is not responsible for delay or failure caused by events outside our reasonable control, including provider outages, internet or cloud failures, power issues, labor disruptions, illness, emergencies, acts of government, disasters, war, terrorism, civil unrest, payment network issues, or delays by clients, venues, event platforms, speakers, sponsors, or other third parties.

18. Governing law and disputes

The governing law and dispute forum in a signed agreement or statement of work will apply to the related project. If there is no such project document, these terms and any dispute related to Afterstage are governed by the laws of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules, and the parties consent to the courts located in Ontario for disputes that cannot be resolved informally.

19. Miscellaneous

You may not assign these terms or a project without our written consent, except as part of a merger, acquisition, reorganization, or sale of substantially all relevant assets. We may assign these terms as part of a merger, acquisition, reorganization, sale of assets, or transfer of the Afterstage business.

If any part of these terms is unenforceable, the remaining parts remain in effect. Our failure to enforce a provision is not a waiver. These terms, together with the applicable project documents, form the agreement between the parties for the services described.

20. Changes to these terms

We may update these terms from time to time by posting a revised version on this page. The updated terms apply prospectively unless a written project document says otherwise. Your continued use of Afterstage after the effective date means you accept the updated terms.
